As an Assistant General Counsel supporting transactions you will provide legal support and assist senior Legal Department counsel and work with management and outside legal counsel on drafting, reviewing and negotiating complex commercial contracts, the acquisition and sale of assets, businesses, real property and brands, and other transactional projects as assigned.

 

What You Will Do:

  • Negotiates, researches, reviews, drafts and advises management on a broad range of commercial contracts and issues.
  • Provides legal advice on complex contracts and the acquisition and sale of businesses and assets, including real estate and brands.
  • Develops and demonstrates expertise in laws, regulations, and practices in areas of responsibility to effectively provide legal advice, draft and review agreements, and perform other legal functions as assigned.
  • Responsible for understanding and monitoring compliance with applicable regulations.
  • Consults with, supervises, and manages outside counsel as appropriate in areas of responsibility.
  • Develops and conducts legal training programs for business personnel in areas of responsibility.
  • Develops cooperative and effective working relationships with business management and staff in areas of responsibility.
  • Keeps informed of industry-specific regulations and ensures that appropriate risk management strategies are in place.

What You Will Need:

  • A Juris Doctorate plus 7 years of experience to include general and transactional legal practice, and complex contract and business acquisition experience, reflecting increasing levels of responsibility.
  • Required to travel to company offices, sites, and/or meeting locations for onboarding, training, meetings, and events for development, department needs, and business delivery, with or without reasonable accommodation. This may be in addition to travel requirements, if applicable, as listed in this job description.

 

What Will Set You Apart:

  • Substantial experience (10+ years) representing business clients in a sophisticated law firm and/or in-house practice.
  • Experience with real estate, land use, environmental and/or water rights law and practice.
  • Demonstrating strong analytical and critical thinking skills and business acumen.
  • Demonstrating flexibility and success working in a fast-paced, change-oriented environment.
  • Experience that demonstrates negotiation skills and ability to influence and leverage relationships.
  • Experience working as a team player and striving for building consensus.
  • Able to effectively organize time in order to meet deadlines.
  • Skilled at handling multiple projects with a sense of urgency.
  • Excellent organizational and verbal and written communication skills.
  • California State Bar member.

Compensation:

 

 

  • Hiring Salary Range Posted: $187,285 - $312,125 + 20% Bonus Potential
  • Actual compensation paid within the range will be determined by factors such as the education, experience, knowledge, skills and abilities of the applicant, internal equity, and alignment with market data.
